Because we have represented both lenders and borrowers, we understand the different perspectives of our clients. We have served as primary and local counsel for national, regional, and local financial institutions in asset-backed, cash flow, and construction financing. In representing our business clients, we negotiate and document not only loan transactions, but also corporate financing, including stock sales and the issuance of warrants. We are also knowledgeable regarding the many ways to structure the sale of business assets, including using earn-outs and equity roll overs, employment agreements, non-compete agreements, and senior and subordinated debt.
